The MS VB 2005 redist. worked for me, too! I got Tether running on XP...However, when I do run it, the Windows app says that its waiting for my Android to be connected, and the Android says that its waiting for the connection over USB...But it is definitely connected.
Anyone else encounter this problem?

Tried to use tether today, and it says that account can not be authenticated. Is it still in beta?
